We, the undersigned owners/operators of food trucks in Walla Walla, Washington, in recognition of the duty we have as responsible business owners to respect the communities that we serve, hereby agree to abide by the following provisions in the operation of our businesses and vehicles:

Membership Eligibility: To be eligible for membership in the WW Food Truck Association, applicants must fulfill the following criteria:

  1. Operational Food Truck: Applicants must own or operate a food truck that is currently in operation.

  2. Compliance with Laws and Regulations: Food trucks must comply with all relevant laws and regulations governing the operation of mobile food businesses. This includes but it not limited to Washington State, City Of Walla Walla, Walla Walla County Health Department, and Walla Walla Fire Department regulations and codes.

  3. Insurance: Applicants must have valid insurance coverage for their food truck.

  4. Commitment to Quality and Service: Members are expected to uphold high standards of food quality, service, and customer satisfaction.

  5. Payment of Membership Dues: Members must pay the required membership dues to maintain their active status within the association.

Applicants who meet these criteria may apply for membership in the WW Food Truck Association and will be subject to review and approval by the association's board.

Membership Acceptance: The association reserves the right to accept or reject any membership application without providing a reason.

Membership Dues: Members are required to pay membership dues as outlined by the association. Membership dues are considered non-refundable and non-transferable. Upon payment, members acknowledge and agree that membership dues are fully earned by the association and are not subject to refund, regardless of the circumstances. This includes, but is not limited to, termination of membership, withdrawal from the association, or dissatisfaction with membership benefits. Members are responsible for ensuring timely payment of dues and understand that failure to do so may result in suspension or termination of membership privileges. The association reserves the right to modify membership dues at any time with reasonable notice provided to members.

Termination of Membership: The association reserves the right to terminate a member's membership for violation of terms or any other reason deemed necessary.

Code of Conduct: Members are expected to adhere to the association's code of conduct, promoting professionalism and cooperation within the food truck community.

Intellectual Property:

  1. All content provided on the Walla Walla Food Truck Association website is for informational purposes only. The Association reserves all rights to the intellectual property, including but not limited to text, images, logos, and graphics displayed on the website.

  2. Users are prohibited from using, reproducing, distributing, or creating derivative works based on the content from the Walla Walla Food Truck Association website without prior written permission from the Association.

  3. Any unauthorized use of the Association's intellectual property may violate copyright laws, trademark laws, privacy, and publicity laws, as well as communication regulations and statutes.

  4. The Walla Walla Food Truck Association reserves the right to take appropriate legal action against any individual or entity found violating these intellectual property terms and conditions.

  5. Users may contact the Association for inquiries regarding the use of intellectual property or requests for permission to use specific content from the website.

  6. Members agree not to infringe upon the intellectual property rights of the association or other members.

Liability: As a member of the WW Food Truck Association, it is important to understand your liability when participating in our events or utilizing our resources. By joining our association, you agree to hold harmless the WW Food Truck Association and its affiliates for any accidents, damages, or losses incurred while engaging in association activities. Amendments: The WW Food Truck Association periodically reviews and updates its policies and guidelines to ensure they align with current industry standards and best practices.

Members are encouraged to familiarize themselves with the updated policies to ensure compliance. The association reserves the right to amend the terms and conditions at any time, with notice provided to members.

Governing Law: These terms and conditions are governed by the laws of the state of Washington and included but are not limited to the following:

  1. All food trucks operating within the state of Washington must comply with state and local laws and regulations.

  2. Food truck operators are required to obtain the necessary permits and licenses to operate legally in Washington State.

  3. The sale of alcohol from food trucks is strictly prohibited in accordance with Washington State law.

  4. Food truck operators must adhere to health and safety standards set forth by the Washington State Department of Health.

  5. Any violations of Washington State law by food truck operators may result in fines, penalties, or suspension of operations.

  6. Operators are responsible for collecting and remitting all applicable sales taxes on food and beverages sold from their trucks.

  7. Washington State law prohibits the operation of food trucks within certain zones or areas designated as off-limits.

  8. Food truck operators are required to maintain proper insurance coverage for their vehicles and operations as mandated by Washington State law.

  9. Failure to comply with Washington State laws and regulations may result in legal action and the revocation of permits to operate a food truck.

  10. These terms and conditions are governed by the laws of the state of Washington and are subject to change as new regulations are enacted.

Communication: Members consent to receive communications from the association regarding membership updates, events, and other relevant information.Communication is a vital aspect of running a successful food truck business. Clear and effective communication is necessary between staff members to ensure smooth operations during service. It is important to establish efficient communication channels to relay orders, coordinate tasks, and address any issues that may arise promptly. Additionally, clear communication with customers is essential for providing excellent service and building a strong customer base. Regularly updating your menu offerings, location schedule, and special promotions through various channels such as social media, website, and signage can help keep customers informed and engaged with your food truck. Effective communication plays a crucial role in maintaining a positive reputation, fostering customer loyalty, and ultimately contributing to the overall success of your food truck business.

Confidentiality: Confidentiality is a crucial aspect of any successful business, including our food truck association. Ensuring that sensitive information shared among members, partners, or clients is kept private helps build trust and credibility within the organization. By maintaining strict confidentiality protocols, we demonstrate respect for the privacy of individuals and businesses involved in our operations. It is imperative that all members uphold this commitment to confidentiality to safeguard our collective interests and foster a professional environment conducive to growth and collaboration.

Non-Discrimination: At WW Food Truck Association, we are committed to upholding non-discrimination practices in all aspects of our operations. We believe in fostering an inclusive environment where individuals are treated with respect and dignity regardless of their race, ethnicity, gender, sexual orientation, religion, or any other characteristic. Discrimination of any kind is not tolerated within our organization or at any of our events. We strive to promote diversity and equality, ensuring that everyone feels welcome and valued within our community.

Indemnification: Members agree to indemnify and hold harmless the association, its officers, and representatives from any claims, damages, or liabilities arising from their membership or participation in association activities.By using WW Food Truck Association services, you agree to indemnify and hold harmless WW Food Truck Association, its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your use of our services or your violation of these Terms and Conditions. This indemnification obligation will survive these Terms and your use of our services.

Dispute Resolution: Any disputes arising between members and the association shall be resolved through mediation or arbitration in accordance with the association's terms and conditions.In case of any disputes between food truck owners or with customers, the WW Food Truck Association recommends following a structured resolution process. Initially, both parties should attempt to resolve the issue amicably through direct communication. If this proves ineffective, mediation with a neutral third party can be pursued. Litigation should be considered as a last resort due to its time-consuming and costly nature. The primary goal should always be to reach a fair and impartial resolution that benefits all involved parties.

Severability: In the event that any provision of these terms and conditions is determined to be unenforceable or invalid, such provision shall nonetheless be enforced to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these terms and conditions. The remaining provisions shall continue to be valid and enforceable.

Entire Agreement: The parties acknowledge and agree that this document constitutes the entire agreement between them and supersedes all prior discussions, understandings, and agreements regarding the subject matter contained herein. No modification or amendment of this agreement shall be effective unless in writing and signed by both parties.

Insurance Requirements: Members may be required to maintain certain levels of insurance coverage, such as general liability insurance, as outlined by the association.Food truck vendors must have insurance coverage to operate legally at our association events. The minimum insurance requirements include general liability insurance with a coverage limit of at least $1 million per occurrence and $2 million in aggregate, naming WW Food Truck Association as an additional insured. Vendors must also provide proof of auto liability insurance if applicable. Failure to maintain the required insurance coverage may result in the vendor being prohibited from participating in future events. It is the vendor's responsibility to ensure that all insurance policies are current and meet the association's requirements.

Vendor Responsibilities: Members are responsible for adhering to local health and safety regulations, obtaining necessary permits and licenses, and maintaining cleanliness and hygiene standards at their food truck operations. As a food truck vendor, it is important to uphold certain responsibilities to ensure the smooth operation of your business and compliance with regulations. These responsibilities include:

  • Food Safety: Maintain proper hygiene standards, monitor food temperatures, and adhere to safe food handling practices to prevent contamination and foodborne illnesses.

  • Permits and Licenses: Obtain all necessary permits and licenses required to operate a food truck legally in your area, including health permits, business licenses, and parking permits.

  • Quality Control: Ensure the quality of your ingredients and food products to meet customer expectations and maintain a good reputation for your business.

  • Customer Service: Provide excellent customer service by being attentive, friendly, and responsive to customer inquiries, feedback, and complaints.

  • Cleanliness: Keep your food truck clean and organized, both inside and out, to create a positive impression on customers and comply with sanitation standards.

  • Record-Keeping: Maintain accurate records of your sales, expenses, and inventory to track your business performance and comply with tax regulations.

  • Compliance: Stay informed about food safety regulations, zoning laws, and other legal requirements that apply to food truck operations in your area, and ensure compliance at all times.

  • Community Engagement: Participate in community events, festivals, and markets to promote your food truck business and build relationships with customers and other vendors.

  • Continuous Improvement: Regularly review and evaluate your menu, pricing, operations, and customer feedback to identify areas for improvement and innovation in your food truck business.

Intellectual Property License: Members grant the association a non-exclusive, royalty-free license to use their business name, logo, and other intellectual property for promotional purposes related to association activities.

Attendance Requirements: Members may be required to attend a minimum number of association meetings or events per year to maintain active membership status.

Renewal and Termination: Membership may be renewed annually upon payment of dues, and members may voluntarily terminate their membership by providing written notice to the association.

Succession Planning: In the event of a member's departure or closure of their food truck business, provisions may be made for the transfer of membership rights and obligations to a successor entity, subject to approval by the association.

  1. Succession Process

    • Members who intend to transfer ownership of their food truck business must notify the Association at least 60 days in advance.

    • The outgoing member is responsible for finding a suitable replacement who meets the Association's membership criteria.

    • The incoming member must submit an application and undergo the Association's approval process before taking over the food truck business.

  2. Membership Transfer

    • Membership in the Association is non-transferable without prior approval.

    • The incoming member must agree to abide by the Association's code of conduct, rules, and regulations.

  3. Financial Obligations

    • The outgoing member is responsible for any outstanding dues or financial obligations to the Association.

    • The incoming member must settle any transfer fees or dues before assuming ownership of the food truck business.

  4. Dispute Resolution

    • Any disputes related to succession planning will be resolved through mediation or arbitration as per the Association's guidelines.

Compliance with Laws: Members agree to comply with all applicable laws and regulations governing the operation of food trucks, including but not limited to health codes, zoning ordinances, and business licensing requirements.Food truck operators must ensure strict compliance with all local, state, and federal laws and regulations governing the operation of food service establishments. This includes obtaining the necessary permits and licenses, adhering to health and safety standards, following zoning regulations, and fulfilling tax obligations. Failure to comply with these laws can result in fines, penalties, and potential suspension of operations. It is imperative for food truck owners to stay informed about any updates or changes to relevant laws to maintain a lawful and successful business.

Brand Representation: Members agree to represent the Walla Walla Food Truck Association in a positive manner and refrain from engaging in any activities that could damage the association's reputation or brand.This includes the visual identity, messaging, and customer experience. By maintaining a neutral tone in communications, such as on social media, website content, and in-person interactions, food truck businesses can appeal to a wider audience and build trust with customers. It is important to convey professionalism and reliability in all brand representations to establish a strong reputation in the competitive food truck industry.

Collaboration and Networking: Members are encouraged to collaborate and network with other association members, fostering a supportive community within the food truck industry.Collaboration and networking are fundamental for running a thriving food truck business. Partnering with other food trucks or local businesses can widen your customer base and draw in new patrons. Networking enables you to forge connections within the industry, exchange resources, and stay updated on trends. Whether coordinating joint events, joining food truck festivals, or exchanging insights with fellow owners, collaboration and networking are key to expanding your business and establishing a robust presence in the community.

Feedback and Suggestions: The association welcomes feedback and suggestions from members for improving association activities and services. Our team will review your input carefully to consider any potential updates or improvements to better serve our members. Publicity and Marketing: Members grant the association permission to use their likeness, photographs, and testimonials for publicity and marketing purposes, both online and offline.

Emergency Procedures: Members agree to cooperate with the association in the event of emergencies or unforeseen circumstances affecting association operations or events.In case of an emergency at a WW Food Truck Association event, follow these procedures:

  1. Stay Calm: Keep calm and assess the situation.

  2. Contact Authorities: Call 911 immediately for any medical emergencies or crimes.

  3. Evacuation: If necessary, evacuate the area following the established evacuation routes.

  4. First Aid: Administer first aid if you are trained to do so.

  5. Designated Meeting Point: Establish a designated meeting point for all staff and attendees.
